Terms of Service
These Terms of Service ("Terms") form a binding agreement between you and Hubroot Solutions LLC ("Hubroot," "Skkrum," "we," "us," or "our") governing access to and use of Skkrum and related websites and services. If you use Skkrum for an organization, you represent that you are authorized to bind that organization where applicable.
1. Eligibility and Accounts
You must be at least 18 years old to use Skkrum. You must provide accurate registration information, keep account information current, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account except to the extent caused by Hubroot's breach of applicable obligations.
2. The Service
Skkrum provides communication and collaboration functionality that may include private messaging, groups, projects, tasks, files, notifications, guest or member access, administrative features, subscriptions, and future AI-enabled tools. Features may vary by plan, platform, region, and release.
We may improve, modify, add, remove, or discontinue features. We will use commercially reasonable efforts to avoid materially impairing paid core functionality during a paid subscription without reasonable notice where practicable.
3. Free and Paid Use
Skkrum may offer free usage subject to user, member, storage, feature, or other limits. Paid plans may permit additional users or functionality. Current pricing, included features, billing intervals, taxes, renewal terms, and applicable limits will be shown before purchase or on the relevant pricing/order page.
Subscriptions renew according to the billing terms presented at purchase unless canceled. Payments may be processed by Stripe, PayPal, or another disclosed payment processor. Except where required by law or expressly stated in an order, fees already paid are non-refundable.
4. User Content and Ownership
You retain ownership of content you submit to Skkrum. You grant Hubroot a worldwide, non-exclusive, limited license to host, copy, transmit, process, display, and otherwise use your content only as reasonably necessary to provide, secure, maintain, support, and improve the Services, comply with law, and enforce these Terms.
You represent that you have the rights and permissions necessary to submit content and to authorize its processing through Skkrum.
5. Privacy of Communications
Workspace administrators and other users do not receive a general right through Skkrum to read another user's private one-to-one messages. Group and project conversations are available to authorized participants. Skkrum is not end-to-end encrypted; Hubroot's systems process content server-side to provide the Services. Internal access is restricted as described in the Privacy Policy.
6. Acceptable Use
You may not use Skkrum to violate law or the rights of others; distribute malware; attempt unauthorized access; interfere with service availability; conduct fraud, phishing, spam, harassment, exploitation, or unlawful surveillance; upload content you are not entitled to use; circumvent plan or billing limits; scrape or extract data except through authorized functionality; reverse engineer the Service except where applicable law expressly permits it; or use Skkrum in a manner that creates material security or legal risk.
Additional rules appear in the Acceptable Use Policy, which is incorporated into these Terms.
7. Customer Administration
Organizations may appoint owners or administrators to manage membership, groups, projects, roles, billing, and other workspace settings. Administrative status does not by itself provide access to users' private one-to-one message content. Customers are responsible for configuring their workspace and ensuring that their use of Skkrum complies with employment, privacy, monitoring, records-management, and other laws applicable to them.
8. AI Features
AI features may generate inaccurate, incomplete, or inappropriate output and should not be treated as professional advice or as a substitute for human review. You are responsible for reviewing AI-generated output before relying on or sharing it. When you invoke an AI feature, necessary input may be processed by a disclosed AI service provider.
9. Intellectual Property
Skkrum, including its software, interfaces, designs, trademarks, logos, documentation, and underlying technology, is owned by Hubroot or its licensors and protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
10. Suspension and Termination
You may stop using Skkrum or cancel a subscription in accordance with the account and billing controls available to you. We may suspend or terminate access where reasonably necessary for non-payment, security, legal compliance, material breach of these Terms, abusive conduct, or protection of the Service or others. Where practicable, we will provide notice and an opportunity to cure a remediable breach.
11. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, internet failures, third-party infrastructure, security events, force majeure, and other circumstances may affect availability. Paid enterprise service levels, if any, will be governed by the applicable order or service-level agreement.
12. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. Hubroot disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage, except to the extent such warranties cannot lawfully be excluded.
13. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenues, goodwill, or business opportunities, arising from the Services, even if advised of the possibility of such damages. Except for liabilities that cannot legally be limited, amounts owed for payment obligations, infringement or misuse of the other party's intellectual property, fraud or willful misconduct, and obligations expressly stated in a separate signed agreement, Hubroot's aggregate liability arising out of or relating to the Services will not exceed the fees paid or payable by the customer to Hubroot for the affected Services during the twelve months immediately preceding the event giving rise to the claim. If no fees were paid, Hubroot's aggregate liability will not exceed US$100. Mandatory consumer rights remain unaffected.
14. Indemnity
To the extent permitted by law, you will defend and indemnify Hubroot and its affiliates, officers, employees, and agents against third-party claims arising from your unlawful use of Skkrum, your content, or your material violation of these Terms or another person's rights, except to the extent the claim results from Hubroot's own breach or misconduct.
15. Governing Law and Disputes
Except where mandatory law gives you rights that cannot be waived, these Terms and disputes arising from them are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Subject to mandatory consumer or privacy-law forums, the state and federal courts located in Delaware will have exclusive jurisdiction. Nothing in this clause prevents either party from seeking urgent injunctive or protective relief in a court of competent jurisdiction.
16. Changes
We may update these Terms. Material changes will be communicated through the Service, website, email, or another reasonable method when required. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
